1. Acceptance of Terms

By creating an account, subscribing to a plan, or utilizing the Steterly scanning and proofreading utilities, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must cease all usage of our services immediately.

You must be at least 13 years of age (or the minimum legal age in your jurisdiction) to use our platform. By registering, you warrant and represent that you have the legal capacity to enter into this binding agreement.

2. Description of Service & Account Security

Steterly provides quality control, AI-powered grammar proofreading, broken link detection, dead image scanning, and meta tag analysis for websites. The services are offered on both an on-demand and scheduled basis as defined by your selected subscription plan.

When you register an account, you agree to provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials, and you agree to accept responsibility for all activities that occur under your account or API keys.

3. Acceptable Use Policy & Permissions

Steterly is designed to audit properties you own, manage, or have explicit permission to scan. You agree that you will not use our crawlers to analyze properties where you have no authorization. Under no circumstances may Steterly be used for competitive scraping, malicious footprinting, or denial-of-service attempts.

You agree not to bypass, disable, or interfere with any security-related features of the platform, including our host rate limits, IP restrictions, and account usage quotas. We reserve the right to block any scan that triggers firewall alerts or causes service disruptions on target hosts.

4. Subscription Fees, Billing, & Auto-Renewals

Paid subscriptions (Personal, Studio, and Agency plans) are billed in advance on a recurring monthly or annual basis. By choosing a plan, you authorize our secure third-party payment processors (such as Stripe) to charge the subscription fees automatically at the start of each billing cycle.

All pricing is exclusive of any applicable sales tax, VAT, or withholding taxes, which will be calculated and added at checkout where legally required. You may upgrade or downgrade your plan at any time; upgrades take effect immediately with pro-rated charges, while downgrades take effect at the end of the current billing cycle.

5. Intellectual Property Rights & Custom Dictionaries

Steterly, including all software, logos, styling, visual interfaces, crawler technologies, and brand assets, is the sole property of Steterly and is protected by copyright and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access our platform during your subscription term.

You retain full ownership and intellectual property rights of all data you input into your custom site dictionaries, ignore rules, and crawled website HTML. Steterly will never sell your dictionary rules, nor will we use your site-specific glossary data to train public AI models.

6. Indemnification & Limitation of Liability

You agree to indemnify, defend, and hold harmless Steterly, its officers, directors, employees, and agents from any claims, liabilities, damages, or costs arising out of your violation of these terms or unauthorized website scanning activity.

Steterly is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Steterly disclaims all warranties, express or implied. In no event shall Steterly be liable for any indirect, incidental, special, or consequential damages (including loss of data, profits, or business interruption) even if advised of the possibility of such damages. Our maximum cumulative liability shall not exceed the fees paid by you to Steterly in the twelve (12) months preceding the claim.

7. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms of Service shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.
